- Holding of the Annual Stockholders’ Meeting on August 24, 2012 with record date of July 30, 2012. The agenda and other details will be announced in due time;
- Subscription by Southern Field Limited (BVI) to P25 million worth of shares of the Corporation at par value of P0.01 per share, equivalent to 2.5 billion shares, with authority for the Corporation’s Chairman or the President and CEO to finalize the terms and conditions thereof and sign the agreement/s and documents relating thereto. Likewise approved is the listing of the said shares, subject to compliance with the requirements of the Philippine Stock Exchange;
- Opening of bank account/s with the Philippine National Bank-Eastwood City Branch; and
- Amendment to the Articles of Incorporation of Winsun Green Ventures, Inc., wholly-owned subsidiary of the Corporation, changing the principal office from Cyber One Building, Eastwood City Cyberpark, Libis, Quezon City to 54 National Road, Dampol II-A, Pulilan, Bulacan.
Please be informed that the execution of the Subscription Agreement or any other related documents pertaining to the subscription by Agrinurture, Inc. to P25 million worth of shares of the Corporation, as disclosed last June 30, 2012, will be made and finalized upon approval of the transaction by the Board of Directors of Agrinurture, Inc. and in compliance with the existing requirements of the Securities and Exchange Commission and the Philippine Stock Exchange.
