SEC approves the amendments to Articles of Incorporation of First Gen Corporation

The Securities and Exchange Commission (SEC) has approved the amendments to Article Seventh of the Articles of Incorporation of First Gen Corporation. The Amendments pertain to the increase in authorized capital stock from PhP7,250,000,000 to PhP8,600,000,000 and the creation of 135 million Series G preferred shares with a par value of PhP 10.00 per share, with the following rights and features: non-voting; issue value and dividend rate to be determined by the board of directors at the time of issuance; entitled to receive cumulative dividends; redeemable at the option of the company; and, in the event of voluntary or involuntary liquidation, dissolution, distribution of assets or winding up of the company, shall be entitle to be paid at their issue value plus any accrued and unpaid dividends thereon.
