Investment Agreements between Trustmark Holdings Corporation and San Miguel Equity Investments Inc.

In April 3, 2012, Trustmark Holdings Corporation (Trustmark), majority shareholder of PAL Holdings, Inc. (PHI), entered into investment agreements with San Miguel Equity Investment Inc. (SMEII), a wholly owned subsidiary of San Miguel Corporation that will result in the issuance of shares to SMEII where the latter will take a minority stake in the company.
